The following terms carry the meanings below throughout this Agreement:

2.1 Acceptance

By accessing the Platform you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and all applicable policies incorporated by reference. If you are acting on behalf of an entity, you represent that you have authority to bind that entity.

2.2 Eligibility

• You must be at least 18 years of age, or the age of legal majority in your jurisdiction if higher.
• You must provide accurate, current, and complete registration information.
• You must not be located in, or a resident of, any Restricted Jurisdiction (see Section 10).
• You must not be a person or entity sanctioned under applicable law or listed on any government sanctions list.
• One account per individual unless Blockchain Mall provides written approval for additional accounts.

• You are solely responsible for all activity conducted through your account.
• You must maintain the confidentiality of your login credentials. You must not share your account with any third party.
• Blockchain Mall is not liable for any losses resulting from compromised accounts caused by your failure to maintain adequate security.
• You must notify Blockchain Mall immediately at support@blockchainmall.org upon discovery of any unauthorized access to your account.
• Blockchain Mall reserves the right to suspend any account where suspicious activity is detected, pending investigation.

The following activities are strictly prohibited and will result in immediate account suspension, forfeiture of rewards, and potential legal action:

• Submitting fraudulent transactions or falsified payment information.
• Money laundering, terrorist financing, or any activity violating applicable AML/CFT laws.
• Use of stolen, unauthorized, or compromised payment methods.
• Self-referrals or manipulation of the Affiliate referral program.
• Creating fake reviews, fake purchases, or artificial transaction volume.
• Operating multiple accounts to exploit rewards, cashback, or staking incentives.
• Using automated bots, scripts, or tools to manipulate Platform activity.
• Reverse engineering, hacking, or attempting to gain unauthorized access to Platform systems.
• Any activity that violates applicable local, national, or international law.

5.1 Purchases

• Product availability is subject to stock levels and seller confirmation.
• Prices are displayed at time of listing and may be updated without prior notice. The price at order confirmation is binding.
• All orders are subject to verification and Blockchain Mall reserves the right to cancel orders that fail verification.

5.2 Cashback Program

• Cashback applies only to Qualifying Purchases as defined in Section 1.
• Cashback vouchers are non-transferable and cannot be redeemed for fiat currency unless expressly stated in writing by Blockchain Mall.
• Cashback will be reversed or deducted if the associated purchase is returned, cancelled, or found to be fraudulent.

5.3 Refunds & Returns

• Refunds and returns are governed by the individual seller's return policy, which Users must review before purchase.
• Refund processing timelines vary by payment method and financial institution.
• Cashback earned on subsequently refunded purchases will be deducted from your cashback balance. Negative balances may be offset against future earnings.

5.4 Digital Asset Payments

• Cryptocurrency and digital asset transactions are generally irreversible once confirmed on the blockchain network.
• You are solely responsible for verifying all wallet addresses prior to initiating any transaction. Blockchain Mall cannot reverse transactions sent to incorrect addresses.
• Blockchain Mall is not liable for any losses resulting from user error in digital asset transactions.

6.1 Commission Eligibility

• Commissions are paid exclusively on Qualifying Purchases made by referred Users.
• Self-referrals — referring yourself using secondary accounts or aliases — are strictly prohibited and will result in account termination.
• Artificially generating referral activity through bots, fake accounts, or coordinated manipulation is prohibited.

6.2 Multi-Level Rewards

• Referral rewards may be distributed across multiple levels according to the compensation plan published on the Platform at the time of the qualifying activity.
• Blockchain Mall reserves the right to modify commission structures, reward rates, and program terms at any time with reasonable notice.

6.3 Commission Payments

• All commission payments are subject to verification and fraud screening before processing.
• Minimum withdrawal thresholds apply as published on the Platform.
• You are solely responsible for determining and fulfilling all tax obligations arising from commissions earned. Blockchain Mall may issue applicable tax documentation as required by law.

6.4 Program Integrity

• Blockchain Mall reserves the right to withhold or forfeit commissions earned through activity determined to be fraudulent, in violation of these Terms, or contrary to program integrity.

7.1 Staking Risks

• Staking involves exposure to market risk, token price volatility, and smart contract risk.
• The value of $ZD tokens may decline significantly, including to zero, during any lock-up period.
• Staking rewards are variable and are not guaranteed under any circumstances.

7.2 APY Disclosure

• Any APY figures displayed on the Platform are estimates based on current conditions and are subject to change without notice.
• Actual returns may be materially lower than projected APY figures. Displayed APY does not constitute a promise, guarantee, or representation of future returns.

7.3 Lock-Up Periods

• Staked tokens may be subject to lock-up periods as specified at the time of staking. Early unstaking may incur penalties as disclosed on the Platform.
• Blockchain Mall is not liable for any opportunity costs or losses incurred during a lock-up period.

7.4 Smart Contract & Technical Risk

Blockchain Mall expressly disclaims liability for losses arising from:

• Smart contract vulnerabilities, bugs, or exploits.
• Blockchain network congestion, forks, or failures.
• Third-party protocol failures or exploits.
• Cyberattacks or unauthorized access to smart contracts.

8.1 Risk Disclosure

• All investment and staking activities involve substantial risk of loss.
• Investors may lose part or all of their invested capital.
• Cryptocurrency markets are highly volatile. Token values may fluctuate significantly within short time periods.

8.2 No Guarantee of Returns

• Blockchain Mall does not guarantee profits, returns, yield, or token price appreciation under any circumstances.
• Any projected figures, illustrative examples, or historical performance data are not representations of future results.

8.3 Liquidity Risk

• $ZD and other tokens on the Platform may not always be tradable or liquid.
• There is no assurance that a secondary market for $ZD will exist or be maintained.

8.4 Regulatory Compliance

• Investors are solely responsible for determining whether participation is lawful in their jurisdiction.
• Participation may be restricted or prohibited in certain jurisdictions. See Section 10 (Restricted Jurisdictions).
• Blockchain Mall does not provide legal, tax, or investment advice.

8.5 Technology Risk

• Blockchain network disruptions, cyberattacks, protocol changes, and technical failures may affect the ability to access or transfer assets.

9.1 Token Classification

$ZD is designed and operated as a utility token within the Blockchain Mall ecosystem. $ZD is not designed or intended to constitute a security, investment contract, or financial instrument in any jurisdiction. However, token classification is determined by applicable law in each jurisdiction and may differ from Blockchain Mall's intent.

9.2 Token Utility

$ZD token utility within the Platform includes:

• Marketplace payments for goods and services.
• Cashback rewards redemption.
• Staking and protocol participation incentives.
• Platform-based loyalty and incentive programs.

9.3 No Ownership or Equity Rights

Holding $ZD does not confer upon the holder:

• Any equity interest, ownership stake, or shareholder rights in Blockchain Mall.
• Any voting rights in Blockchain Mall governance unless explicitly provided by a separate written agreement.
• Any right to dividends, profit distributions, or revenue sharing.

9.4 Token Volatility

• $ZD token prices may fluctuate significantly. There is no assurance of value preservation.
• Blockchain Mall does not control secondary market prices and makes no representations regarding future token value.

Access to and use of certain Platform features — including staking, token transactions, and Affiliate commissions — may be restricted or prohibited for Users located in or resident of jurisdictions where such activities are restricted by applicable law, including but not limited to:

• The United States of America (unless specifically approved and compliant with applicable securities law).
• Jurisdictions subject to comprehensive OFAC, UN, EU, or applicable sanctions.

Users are responsible for determining whether their use of the Platform is lawful in their jurisdiction. Blockchain Mall reserves the right to geo-restrict access and terminate accounts in Restricted Jurisdictions without notice.

• Travel rewards are earned only through qualifying activities as specified in the applicable reward program terms.
• Rewards are subject to availability, partner participation, and booking conditions.
• Blockchain Mall may substitute rewards of equivalent value where the originally specified reward is unavailable.
• All applicable taxes on rewards are the sole responsibility of the recipient.
• Rewards have no cash surrender value and are non-transferable unless otherwise stated.

• All trademarks, logos, brand names, software, content, and materials on the Platform are the exclusive property of Blockchain Mall or its licensors.
• Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for personal, non-commercial purposes in accordance with these Terms.
• Users may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any Platform content without prior written consent from Blockchain Mall.
• User-generated content submitted to the Platform grants Blockchain Mall a worldwide, royalty-free license to use, display, and distribute such content in connection with Platform operations.

Blockchain Mall's collection, use, and protection of personal data is governed by its Privacy Policy, incorporated herein by reference. Key practices include:

• Collection of registration and transaction data necessary to operate the Platform.
• KYC/AML identity verification where required by applicable law.
• Use of cookies and analytics tools to improve Platform performance.
• Data sharing with payment processors, compliance service providers, and regulatory authorities as required by law.
• User rights regarding data access, rectification, and deletion in accordance with applicable data protection law.

Blockchain Mall is committed to compliance with applicable Anti-Money-Laundering (AML) and Know-Your-Customer (KYC) requirements. Blockchain Mall reserves the right to:

• Require identity verification documents and proof of address before granting access to Platform features.
• Monitor transactions for suspicious activity on an ongoing basis.
• Freeze or suspend accounts involved in or suspected of involvement in suspicious, fraudulent, or illegal activity.
• Report transactions and user information to relevant regulatory and law enforcement authorities as required by applicable law.
• Reject or reverse transactions that fail AML screening.

You agree to indemnify, defend, and hold harmless Blockchain Mall, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of or access to the Platform.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any content you submit, post, or transmit through the Platform.

17.1 Good Faith Resolution

Before initiating formal proceedings, both parties agree to attempt good-faith resolution of any dispute by notifying Blockchain Mall at legal@blockchainmall.org with a written description of the dispute. Blockchain Mall will respond within 30 days.

17.2 Binding Arbitration

If good-faith resolution fails, disputes shall be resolved by binding arbitration under the rules of courts, conducted in Uganda. The arbitrator's decision shall be final and binding.

17.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to conflict-of-law principles.

• Blockchain Mall may suspend or terminate any account at any time, with or without notice, for violation of these Terms or applicable law.
• Upon termination, your right to access the Platform ceases immediately.
• Rewards, cashback, commissions, and staking rewards may be forfeited upon termination for cause.
• Users may close their account at any time by contacting support@blockchainmall.org. Pending transactions will be processed per these Terms before account closure is finalized.
• Provisions of these Terms that by their nature should survive termination shall survive, including Sections 12, 15, 16, and 17.

• Blockchain Mall may update these Terms at any time. Material changes will be communicated via Platform notification or email at least 14 days before taking effect.
• Continued use of the Platform after the effective date of revised Terms constitutes acceptance of the revised Terms.
• If you do not accept revised Terms, you must cease use of the Platform and close your account.

20.1 Severability

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

20.2 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Blockchain Mall regarding use of the Platform, superseding all prior agreements.

20.3 Waiver

Blockchain Mall's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

20.4 Assignment

Blockchain Mall may assign these Terms or any rights hereunder without your consent. You may not assign your rights or obligations under these Terms without prior written consent from Blockchain Mall.
